MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement (the "Agreement") is entered into as of 2026-04-25, between:

[Party A Name], a company ("Party A");

and

[Party B Name], a company ("Party B");

(collectively, the "Parties").

RECITALS

The Parties wish to explore a potential business relationship concerning [describe the purpose of disclosure] (the "Purpose") and, in connection with the Purpose, each Party may disclose to the other certain confidential and proprietary information.

1. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" means any and all information or data disclosed by either Party to the other Party, either directly or indirectly, in writing, orally, or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally known to the public through no breach of this Agreement; (b) was known to the receiving Party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving Party without use of the Confidential Information.

2. MUTUAL OBLIGATIONS

Each Party agrees to: (a) hold the other Party's Confidential Information in strict confidence; (b) not disclose the Confidential Information to any third party without prior written consent; (c) use the Confidential Information solely for the Purpose; (d) protect the Confidential Information with at least the same degree of care used to protect its own confidential information, but in no event less than reasonable care; and (e) promptly notify the other Party upon discovering any unauthorised use or disclosure.

3. PERMITTED DISCLOSURES

Each Party may disclose Confidential Information to its employees, officers, contractors, and advisors who have a legitimate need to know for the Purpose, provided such persons are bound by confidentiality obligations at least as protective as those in this Agreement.

4. RETURN OR DESTRUCTION

Upon written request by either Party, the other Party shall promptly return or destroy all copies of Confidential Information and certify such destruction in writing.

5. TERM

This Agreement shall commence on the date first written above and remain in effect for a period of 2 years from that date, unless earlier terminated by mutual written agreement. The confidentiality obligations shall survive termination for a further period of 2 years.

6. NO LICENCE

Nothing in this Agreement grants either Party any rights in or to the other Party's Confidential Information, except the limited right to use it for the Purpose.

7. NO WARRANTY

Confidential Information is provided "as is." Neither Party makes any warranty regarding the accuracy, completeness, or fitness for any purpose of the Confidential Information.

8. REMEDIES

Each Party acknowledges that any breach of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, each Party shall be entitled to seek equitable relief, including injunction and specific performance, without the requirement to post bond or other security.

9. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of England & Wales. Any dispute arising out of or in connection with this Agreement shall be resolved by the courts of England & Wales.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior or contemporaneous understandings. This Agreement may not be amended except in writing signed by both Parties.
